Opportunity Zones 2.0: Your Path to Tax-Free Growth—with the Right Records

OZ Rules Through Year-End 2026

If you have capital gains now or will realize them before December 31, 2026:

  • You can still defer their tax by reinvesting into a Qualified Opportunity Fund (QOF) within 180 days.

  • After 5 years, get a 10% basis step-up.

  • Hold for 7 years, a 15% step-up.

  • And after 10 years, any gain from the QOF itself is tax-free  .

Tip: Gains realized in late 2025 or 2026 may still qualify—but timing is critical before this window closes.

What Changes After 2026: OZ Rules Redefined

Starting January 1, 2027, under the One Big Beautiful Bill Act (OBBBA):

  • OZ investing is now permanent  .

  • New timeline for gains invested after 2026:

    • Deferral window resets to a rolling 5-year after your investment  .

    • Basis increases by 10% after 5 years; 30% for investments in rural OZs  .

  • OZ maps reset January 1, 2027—governors recertify zones every decade under stricter income rules  .

Rural Impact:

  • Rural zones defined as areas outside cities >50K—eligible for 30% basis boost and more flexible improvement thresholds  .

How to Strategically Navigate This Window

Now–Dec 31, 2026

Invest gains now to lock in 10% + 5% step-up timing.

2027+

Consider waiting to access new rolling deferral or rural OZ super step-up via QROFs.

Every 10 years

Track new OZ maps to ensure funds remain compliant with evolving geography.

Why Documentation Is Non-Negotiable

Policy complexity is increasing, so is IRS attention. You must prove:

  • Reinvestment deadlines: reinvestment within 180‑day window

  • Basis step-up triggers: proof of 5-year hold in fund

  • Geographic compliance: fund targets current OZ maps

  • Asset usage: for rural zones, show property improvements meet threshold

  • IQ records annually (Forms 8949 & 8997)  .

Without contemporaneous documentation, deferred gains may become taxable, and future OZ benefits may be lost—not due to law, but absent proof.
